Terms of Service
1. Acceptance of these Terms
These Terms govern your access to and use of the Bloxie platform. By creating an Account, accessing the Services or using any part of Bloxie, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services. Additional terms may apply to specific features, subscriptions or promotional offers.
2. About Bloxie
Bloxie is an asynchronous collaboration platform designed to help individuals, teams and organizations communicate, collect feedback and make decisions without unnecessary meetings. The Services allow Users to create Workspaces containing collaborative Projects and Threads, including Discussions, Polls, Appointment Polls, Approvals and Reviews. The Services are operated by Codemize, operated by Marc Stöckli, Feldstrasse 31G, 5442 Fislisbach, Switzerland, reachable at support@bloxie.ch.
3. Eligibility
You may use the Services only if you are legally permitted to enter into a binding agreement under the laws applicable in your country of residence, or if you have received any legally required consent from a parent or legal guardian. You are responsible for ensuring that your use of the Services complies with all applicable laws.
4. User Accounts
To use certain features, you must create an Account. Accounts are personal and may not be shared with other individuals. You agree to provide accurate information, keep your account information up to date, maintain the security of your Account, and immediately notify us of any unauthorized access. You remain responsible for all activities performed through your Account unless caused by our negligence. Authentication is currently provided through Sign in with Apple and Sign in with Google. We reserve the right to refuse account creation where necessary to protect the security or integrity of the Services.
5. Workspaces
A Workspace is the primary collaborative environment within Bloxie. Each Workspace may contain Members, Projects, Threads, Documents, Images, Polls, Approvals, Reviews and Blox Credits. The User creating a Workspace becomes its Owner, and Workspace Owners are responsible for managing Members, assigning administrative permissions, managing Workspace Content, and ensuring appropriate use of the Workspace. Administrators may manage a Workspace only within the permissions granted by the Owner, and Members may access only the information available according to their assigned permissions. Workspace ownership cannot currently be transferred.
6. Projects and Threads
Projects help organize collaborative work within a Workspace, and each Project may contain one or more Threads. Threads represent individual discussions or decision processes and serve as the primary collaboration unit within a Project. Depending on the selected Thread type, a Thread may contain Discussions, Polls, Appointment Polls, Approvals, Reviews, Comments, Attachments, Documents and Images. Workspace Members may create and participate in Threads according to the permissions assigned within the Workspace, and Thread creators are responsible for ensuring that the information they publish is accurate and complies with these Terms.
6.1 Polls
Polls allow Members to collect opinions, make decisions or determine preferences. Poll settings are determined by the creator of the Poll and may include anonymous voting, public voting, single or multiple selections, deadlines and participation restrictions. Users are responsible for ensuring that Polls are created and conducted lawfully.
6.2 Appointment Polls
Appointment Polls allow Members to determine suitable dates and times for meetings or other events. Appointment Polls are intended solely to facilitate scheduling and do not create legally binding appointments unless expressly agreed by the participants.
6.3 Approvals
Approvals are intended for structured approval workflows. Depending on the configuration, one or more Members may approve or reject a proposal, and Approvals may include documents, supporting information, comments, deadlines and required participants. Bloxie records approval responses submitted by participating Members, but does not verify the legal validity of any approval process conducted through the Services.
6.4 Reviews
Reviews allow Members to evaluate proposals, documents or other Content before a final decision is made. Unless explicitly configured otherwise, Reviews are advisory in nature and do not constitute binding approvals.
6.5 Public Links
Certain Threads or Polls may be shared using a Public Link. Workspace Owners and Members are responsible for ensuring that only information intended for public access is shared using Public Links. Anyone receiving a valid Public Link may access the Content made available through that link without becoming a Member of the Workspace, and Public Links may be disabled or revoked at any time by authorized Members.
7. Invitations and Workspace Membership
Workspace Owners and Administrators may invite additional Members to join a Workspace, and invited Users become Members only after accepting the invitation. Each Workspace is responsible for managing its own Members and permissions. Codemize does not verify whether invited individuals are authorized to access confidential information shared within a Workspace, and Workspace Owners are solely responsible for ensuring that invitations are sent only to appropriate recipients.
8. User Content
Users retain ownership of the Content they create or upload to the Services. By submitting Content to Bloxie, you grant Codemize a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, reproduce where technically necessary, create backup copies, and transmit Content through the Services. This license exists solely for the purpose of operating and improving the Services, and Codemize does not acquire ownership of User Content. You represent and warrant that you own the Content or have permission to use it, that the Content does not infringe third-party rights, and that the Content complies with applicable law. You remain solely responsible for all Content you upload or publish.
9. Intellectual Property
The Bloxie platform, including its software, design, branding, trademarks, logos, graphics and underlying technology, is owned by Codemize or its licensors. Except as expressly permitted by applicable law, you may not copy, reverse engineer, modify, distribute, sell or sublicense the Services, or remove copyright or trademark notices. Nothing in these Terms transfers ownership of Bloxie's intellectual property to Users, and User Content remains owned by the respective User or organization that created it.
10. Acceptable Use
Bloxie is intended for lawful, professional and respectful collaboration. You agree not to use the Services to violate any applicable law or regulation, infringe the intellectual property rights of others, upload malicious software, viruses or harmful code, distribute spam or unsolicited communications, impersonate another person or organization, intentionally disrupt or interfere with the operation of the Services, attempt unauthorized access to Accounts, Workspaces or infrastructure, upload illegal, fraudulent, defamatory, abusive, threatening or hateful content, use automated tools, bots or scripts in a manner that negatively impacts other Users or the availability of the Services, or use the Services for phishing, fraud or deceptive activities. Users are solely responsible for the Content they publish and for ensuring that they have the necessary rights to share such Content.
11. Subscriptions
Certain features of Bloxie require an active paid Subscription, which may be offered on a monthly or annual basis. Subscription fees, available plans and included features are displayed within the Services before purchase. Subscriptions automatically renew unless cancelled before the renewal date through the applicable platform, and Subscriptions purchased through Apple's App Store are subject to Apple's billing terms and conditions. Future payment providers may be supported as the Services evolve. Failure to maintain an active Subscription may result in reduced functionality or the loss of access to subscription-only features.
12. Blox Credits
Certain features may require the use of Blox Credits. Blox Credits are consumable digital credits assigned to the purchasing User Account and are not tied to a specific Workspace, Initiative or Thread. Unless otherwise specified, Blox Credits have no cash value, are non-transferable between User Accounts, cannot be exchanged for money, and are not shared automatically with other Workspace Members; unused Blox Credits do not expire while the associated User Account remains active, and deleting a Workspace does not affect the User's remaining Credit balance, although deleting the User Account results in the loss of any remaining Credits, subject to applicable law, and consumed Blox Credits are not restored if related Content is later deleted. Credits may be used for eligible actions performed by that User or for resources for which that User is designated as the billing owner. If a purchase is refunded, revoked or charged back, Codemize reserves the right to remove the associated Blox Credits or restrict access to paid functionality until the account has been brought into good standing. Additional terms governing Blox Credits are available in the separate Blox Credits Terms.
13. Availability of the Services
We strive to provide reliable Services; however, Bloxie is provided on a best-effort basis, and we do not guarantee that the Services will always be uninterrupted, error-free, available at all times, or compatible with every device or operating system. Maintenance, software updates, infrastructure failures, third-party outages and events beyond our reasonable control may temporarily affect availability. We may modify, improve or discontinue features where reasonably necessary to maintain or improve the Services, and whenever reasonably possible, material changes affecting Users will be communicated in advance.
14. Suspension and Termination
You may stop using the Services and delete your Account at any time. Codemize may temporarily suspend or permanently terminate access to the Services where reasonably necessary, including where these Terms are violated, applicable law requires such action, fraudulent activity is detected, payment obligations are not fulfilled, the Services are used in a manner that threatens the security, integrity or availability of the platform, or repeated abuse or misuse occurs. Where reasonably practicable, we will provide notice before permanently terminating an Account, although immediate suspension may occur where necessary to protect the Services, other Users or comply with legal obligations. Termination of an Account does not automatically delete Workspace Content where such Content forms part of ongoing collaboration within a Workspace.
15. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. While we strive to provide reliable and secure Services, we do not warrant or guarantee that the Services will be uninterrupted or error-free, that they will meet every User's individual requirements, that all defects will be corrected, that the Services will always be available, that data loss will never occur, or that the Services will be free from harmful components. You acknowledge that your use of the Services is at your own risk. Nothing in these Terms excludes warranties that cannot legally be excluded under applicable law.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Codemize and its owner shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or relating to the use of the Services, including loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of productivity, interruption of business, corruption or loss of data, or costs of substitute services. Where liability cannot legally be excluded, our total aggregate liability shall not exceed the amount paid by you for the Services during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability for intentional misconduct, gross negligence or any liability that cannot legally be excluded.
17. Indemnification
You agree to defend, indemnify and hold harmless Codemize, its owner, contractors and service providers from and against any claims, damages, liabilities, losses, costs and expenses, including reasonable legal fees, arising out of or relating to your use of the Services, your Content, your violation of these Terms, your violation of applicable law, or your infringement of any intellectual property or other rights of a third party. This obligation survives termination of your Account to the extent permitted by applicable law.
18. Service Changes
We continuously improve Bloxie. Accordingly, we may introduce new features, modify existing functionality, discontinue features, change pricing, introduce new Subscription plans, or modify technical requirements. Where reasonably possible, material changes affecting Users will be communicated in advance. Nothing in these Terms obligates Codemize to continue providing any specific feature indefinitely.
19. Export of Data
Where technically feasible, Users may export certain data from the Services. Some export functionality may require an active Subscription or may only be available upon request. Users are encouraged to export important information before permanently deleting their Account or Workspace.
20. Force Majeure
Codemize shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, governmental actions, internet outages, failures of cloud providers, failures of payment providers, failures of authentication providers, widespread cyber attacks, or labor disputes. Performance of the affected obligations shall be suspended for the duration of the event.
20.1 Beta Features
From time to time, Bloxie may offer features identified as alpha, beta, preview, early access or by similar designations ("Beta Features"). Beta Features are provided for evaluation and testing purposes only and may contain bugs or errors, change without prior notice, be modified or discontinued at any time, or become unavailable without replacement. To the fullest extent permitted by applicable law, Beta Features are provided without any warranty, guarantee or service level commitment, and your use of Beta Features is entirely voluntary and at your own risk.
20.2 Feedback
We welcome suggestions, ideas, comments and other feedback regarding the Services. By voluntarily submitting Feedback to Codemize, you grant us a perpetual, worldwide, irrevocable, non-exclusive, royalty-free license to use, modify, reproduce, publish and incorporate such Feedback into the Services without compensation or acknowledgement. This provision does not affect ownership of your User Content.
20.3 Copyright Complaints
Codemize respects the intellectual property rights of others. If you believe that Content available through the Services infringes your copyright or other intellectual property rights, please contact us at support@bloxie.ch. Your notice should include sufficient information to identify the copyrighted work, the allegedly infringing Content, your contact information, and a statement that you believe the use is unauthorized. We reserve the right to remove allegedly infringing Content while investigating the complaint.
20.4 Electronic Communications
By using the Services, you agree to receive communications electronically, including account notifications, Workspace invitations, security alerts, subscription information, billing notifications, legal notices, and updates to these Terms. Electronic communications satisfy any legal requirement that communications be provided in writing, unless mandatory law requires otherwise.
20.5 Assignment
Codemize may assign or transfer its rights and obligations under these Terms in connection with a merger, an acquisition, a sale of assets, a corporate restructuring, or a transfer of the Services. You may not assign or transfer your rights or obligations without our prior written consent.
20.6 No Waiver
Failure by Codemize to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision. Any waiver must be made expressly in writing.
20.7 Survival
The following provisions survive termination of these Terms or your Account where applicable: Intellectual Property, User Content, Payments, Blox Credits, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and any provision which by its nature should survive termination.
20.8 Entire Platform Evolution
Bloxie is an evolving software platform. Future versions of the Services may introduce additional functionality, including but not limited to Artificial Intelligence features, Workflow automation, Calendar integrations, Third-party integrations, API access, Marketplace functionality, and Enterprise functionality. Nothing in these Terms shall be interpreted as an obligation to provide any future feature, functionality or integration.
20.9 User Responsibility for Data
Although Bloxie performs regular backups and implements reasonable safeguards to protect data, Users remain responsible for maintaining their own copies of important information. Codemize recommends exporting important Content periodically. To the fullest extent permitted by law, Codemize shall not be liable for any loss of User Content resulting from accidental deletion, hardware failure, software defects, third-party outages or events beyond our reasonable control.
21. Governing Law
These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of law provisions. If you are a consumer, this choice of law shall not deprive you of mandatory consumer protection rights granted under the laws of your country of residence. Any disputes arising out of or relating to these Terms shall be submitted to the competent courts of Switzerland, unless mandatory law provides otherwise.
22. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects its intended economic purpose.
23. Entire Agreement
These Terms, together with the Privacy Policy, Subscription Terms, Blox Credits Terms and any additional legal documents expressly incorporated by reference, constitute the entire agreement between you and Codemize regarding the use of the Services, and supersede all prior agreements, understandings and communications relating to the Services.
